1. Terms

• Licensee: the buyer. An individual, company or other legal entity that would like to acquire the source code release of WebCampaignManager.net

• SOFTWARE  or software product: WebCampaignManager.net including source code.

• Vendor: WebCampaignManager.com who will provide the SOFTWARE  product.

2. You, the licensee, can sell the SOFTWARE  product as an integrated product in YOUR SOFTWARE  or in other words as a bundled product. You can also sell the SOFTWARE to your current or future customers as a standalone product but you may not sell it directly online to the general public using a shopping cart or other similar method.

3. You can use the platform features to create a new web application that respects the terms of this License agreement.

4. You can sell as many copies as you want/can as high (price) as you want but not lower that the current retail price advertised at WebCampaignManager.com web site.

5. You can modify the source code to suit yours or your customers' needs.

6. You may integrate the part or the entire source code into your existing commercial product provided that the resulting product is not in direct competition with the standard release of WebCampaignManager.net in regard to features, scope or functionality. The SOFTWARE may not be distributed as part of products that have the same or substantially the same primary functionality. (Example you may purchase WebCampaignManager.net source code and create a CRM application. However, you cannot wrap WebCampaignManager.net and offer it as a Newsletter Manager, since its primary functionality would be substantially the same as the SOFTWARE .

7. You are not free to modify the source code (adapt the GUI) for the purpose of making a new standalone product similar in features, scope or functionality to WebCampaignManager.net.

8. You cannot resell this license. You may permanently transfer all of your rights under this agreement provided you retain no copies, you transfer the entire SOFTWARE  product (including all component parts, any upgrades and this agreement) and the recipient agrees to the terms of this agreement. You should notify WebCampaignManager.com in such an event.

9. Support: we will support issues pertaining directly to the SOFTWARE  product and we will advise you when needed. WebCampaignManager.com DOES NOT provide technical support for modified source code.

10. You are entitled to free future updates for 12 months after your order. After this period, if you would like to have future updates there will be an additional charge of 30% of the full license cost and this will give you again access to free updates for another 12months. 

11. This license is not a copyright transfer neither an Intellectual Property Rights (IPR) transfer.  You are not buying the SOFTWARE  product. You are buying the license to modify and use the SOFTWARE  product according to the terms described in this license agreement.

12. WebCampaignManager.com expressly disclaims any warranty for the SOFTWARE  product. The SOFTWARE  product and any related documentation is provided "as is" without warranty of any kind. WebCampaignManager.com does not warrant that the functions of the SOFTWARE  product will meet your requirements or that operation of the SOFTWARE  product will be uninterrupted or error free. The entire risk arising out of use or performance of the SOFTWARE  product remains with you.

13. To the maximum extent permitted by applicable law, in no event shall WebCampaignManager.com or its affiliates or its resellers or its associates be liable for any special, incidental, direct or indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE  product, even if WebCampaignManager.com has been advised of the possibility of such damages.
 

14. In the event you develop any troubleshooting-related modifications of the SOFTWARE, either independently or jointly with WebCampaignManager.com team, such modifications and all rights associated therewith will be the exclusive property of WebCampaignManager.com. You are granted the right to use such modifications as set forth in this agreement.

15. You acknowledge that the SOFTWARE ’s source code contains valuable and proprietary trade secrets of WebCampaignManager.com. All individuals employed by or belonging to your entity agree to expend every effort to insure its confidentiality. You agree to assume full responsibility for such employees’ or contractors’ use, or misuse, of such disclosed source code as if it was your use. These obligations shall not apply to any information generally available to the public, independently developed or obtained without reliance on WebCampaignManager.com information, or approved in writing for release by WebCampaignManager.com without restriction.

16. You may not use the WebCampaignManager.com product names, logos or trademarks to market YOUR SOFTWARE.

17. You agree to indemnify, hold harmless, and defend WebCampaignManager.com and its resellers from and against any and all claims or lawsuits including attorney's fees that arise or result from the use or distribution of YOUR SOFTWARE

18. Special note about third party products that are bundled into the SOFTWARE  product. These products as of January 2010 are:

Telerik Premium Collection for .NET

WebCampaignManager.com is not allowed by the license agreement of Telerik to offer the .NET controls as part of a developer's license. If the SOFTWARE  product uses any of Telerik's .NET controls you will have to buy a license directly from them. A developer license of Telerik's .NET controls offers unlimited royalty free distribution (subject to their terms and policies) so you will be able to offer it along/integrated with the SOFTWARE  product as many times as you want.

1. The source code release edition costs $15000 (fifteen thousand United States dollars).

2. Payment will be made by wire transfer to our bank account. Payment by check is also possible but delivery of the SOFTWARE  is subject to check clearance. Such a process can take up to a month.

3. Payment is not refundable under any circumstances.

4. We will issue an invoice after the payment is completed.

5. Value added Tax (VAT): Applies only to residents of European Union. Does not apply for USA, Canada and the rest of the world. We will not charge VAT since this is an intra-community transaction. But we will ask you to fax us a copy of your VAT registration. VAT liability is transferred to the licensee (you) as the recipient of the SOFTWARE  pursuant to Article 21 (1) b) and Article 8 (1) a) of Directive 77/388/EEC.
